1. The Agreement
These Terms of Service govern the relationship between Zeeti Digital Services (Pty) Ltd (Registration Number: 2017/188086/07) ("we," "us," or "Zeeti") and the client ("you"). By securing a consultation, reserving a launch slot, or initiating a digital architecture project with us, you agree to these operational terms. We build custom-coded, structural digital assets; we do not engage in template modifications or speculative work.
2. Project Scope & Containment
Every digital build operates on a strictly defined scope of work. Before development begins, project parameters, deliverables, and timelines are locked in.
- Scope Creep: Any feature, layout change, or integration requested outside the locked project parameters is classified as a new operational request and will be quoted and billed separately.
- Client Dependencies: Project timelines are contingent on you providing necessary assets (copy, branding, legal text) on schedule. Delays on your end will systematically pause our deployment timeline.
3. Financial Architecture
Precision work requires clear financial boundaries. All projects require an upfront, non-refundable deposit to secure placement in our development queue.
- Payment Schedules: Development will not commence until the initial deposit is cleared. Final project deployment or code handover will only occur once the remaining balance is settled in full.
- Launch Slots: Discounted "Founding Client Launch Rates" are strictly limited by availability and require immediate commitment to lock in the pricing tier.
4. Intellectual Property Transfer
We build to hand over, but ownership transfers are conditional upon final payment.
- Pre-existing Code: Zeeti retains full ownership of our proprietary baseline code, internal frameworks, and development tools utilized to build your project.
- Final Assets: Upon full and final payment, you are granted a broad, irrevocable license to use, modify, and publicly display the final customized digital assets (HTML, CSS, JS, and design files) built explicitly for your business.
5. Infrastructure & Third-Party Nodes
Zeeti engineers the architecture, but modern websites rely on external networks. We integrate with third-party providers (e.g., Firebase, Cloudflare, WhatsApp APIs) but do not control them.
- We are not liable for downtime, API deprecations, or service interruptions caused by third-party hosting environments or external network nodes.
- Ongoing hosting, domain renewal, and third-party subscription fees remain your direct responsibility unless explicitly included in a managed retainer contract.
6. Warranties and Limitation of Liability
We guarantee that our code is modern, mobile-optimized, and structurally sound at the time of deployment. However, digital ecosystems evolve continuously.
- "As Is" Delivery: After the defined post-launch diagnostic window, systems are provided "as is." We do not guarantee permanent compatibility with future browser updates or third-party API changes outside of active maintenance contracts.
- Liability Cap: To the maximum extent permitted by South African law, Zeeti's liability for any claim arising from this agreement or our digital services shall not exceed the total amount paid by you for the specific project in dispute. We are strictly not liable for any indirect loss of profits, business interruptions, or data corruption.
7. Project Termination
Either party may terminate the project given written notice. If you terminate the project after development has commenced, all deposits remain non-refundable, and you will be billed for all operational hours and code completed up to the date of cancellation.
8. Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or our services will be resolved under the jurisdiction of the South African courts in the Western Cape.
